Terms of Service - OmegaCloud

Welcome to OmegaCloud! These Terms of Service ("Terms") govern your access to and use of the omegacloud.ai website and the OmegaCloud platform and services (collectively, the "Service"). By using the Service, you agree to these Terms.

Service Description

OmegaCloud (OmegaCloud Cloud Service & Datacenters Providers, UAE license 1487010 issued on March 27, 2025) provides an automation platform that enables users to create, deploy and use applications via web interface. User submits text prompts to the OmegaCloud's AI agent that generates and maintain user applications. The Service includes infrastructure provisioning (by third-party cloud service providers), networking, and basic security measures as determined by us.

Account Requirements

• User must register for an account on omegacloud.ai to use the Service.
• User must provide accurate and complete information during registration.
• User must maintain a positive account balance to use paid resources. Services will not be provisioned, and active services may be terminated if user's balance is insufficient.

User Responsibilities

• User is responsible for all activity under his/her account.
• User must use the Service lawfully and not for any prohibited activities (e.g., spamming, distributing malware, illegal content, excessive resource abuse).
• User is responsible for the applications he/she deploys, including its legality, functionality, and security.

User's Code and Content

• OmegaCloud retains ownership of the code generated during application work.
• User retains ownership of all the data uploaded and stored in the Service ("User Content").
• User grants us a limited, worldwide, non-exclusive license solely to host, run, copy, transmit, display, monitor and adapt User Content as necessary to provide and operate the Service.
• We access User Content only for technical operation, monitoring, support, and security, as described in the Privacy Policy.

Pricing and Payment

• The Service operates on a Pay-As-You-Go basis. User is charged based on the consumption of compute resources, storage, and tokens (AI models inference) as detailed on our website or provided pricing information.
• Prices are subject to change. We will provide notice of price changes on our website or via email where feasible.
• User must pre-pay by adding funds to his/her account balance. Charges are deducted from your balance as resources are consumed.
• Insufficient Funds: If user's account balance cannot cover the cost of running resources, we reserve the right to immediately suspend or terminate user's running applications, jobs, or environments without further notice.
• Bonus Credits: We may, at our sole discretion, offer promotional bonus credits upon sign-up or first top-up. The availability, amount, and terms of bonus credits are determined by us and are not guaranteed.

Third-Party Services

• OmegaCloud relies on third-party services, including infrastructure providers (e.g., AWS, GCP, Azure), payment processors (Stripe), and others (for monitoring, email notifications, analytics, etc).
• While we choose providers carefully, the Service's availability and performance can be affected by these third parties and the user's network conditions. We are not liable for failures originating solely from these third parties.
• We may change our third-party providers at any time. Use of the Service constitutes acceptance of our reliance on such providers.

Service Availability and Limitations

• The Service is provided "AS IS" and "AS AVAILABLE." We do not guarantee uninterrupted service due to potential maintenance, technical issues, or third-party provider outages.
• Security: We implement security measures on the underlying infrastructure on a best-effort basis. User remains responsible for his/her application's security (e.g. do not expose confidential or sensitive inforfmation publicly).
• We reserve the right to limit or suspend usage impacting platform stability.

Termination

User may stop using the Service and request account closure (subject to settling any outstanding balance).

We may suspend or terminate your access immediately for:

• Breach of Terms
• Insufficient funds
• Illegal/abusive usage
• Legal requirements

Upon termination, data deletion follows our retention practices.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, OMEGACLOUD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL MEET ALL YOUR REQUIREMENTS, ESPECIALLY CONSIDERING DEPENDENCE ON THIRD PARTIES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OMEGACLOUD (INCLUDING ITS OPERATORS AND AFFILIATES) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) FAILURES OR ACTIONS OF THIRD-PARTY PROVIDERS; (C) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; (D) SERVICE INTERRUPTIONS; (E) BUGS OR MALWARE INTRODUCED VIA THE SERVICE (DESPITE REASONABLE EFFORTS).

OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 3 MONTHS PRIOR TO THE CLAIM.

Governing Law

These Terms are governed by the laws of United Arab Emirates, without regard to conflict of law principles.

Changes to Terms

We may modify these Terms. Significant changes will be notified via website or email. Continued use constitutes acceptance.
